By accessing, downloading, saving, installing, using, or attempting to use the Service, you acknowledge and agree to be bound by these Terms of Use. This includes any additional license terms that accompany the Software, as well as any relevant documents and linked terms within the Terms of Use.

Application to Services and Users

The Terms of Use outlined in other sections generally apply to all Services and Users. It is important to familiarize yourself with these terms to ensure compliance with the applicable regulations.

Payment Obligations and Free Features

While the Service's essential features are provided free of charge, certain features may require payment. Therefore, it is essential to review these Terms of Use and any accompanying information to understand any financial obligations associated with specific features.

Comprehensive Agreement

All the terms presented collectively form this Agreement, which is binding upon you. Each term contributes to the overall understanding of your rights and obligations. If you come across any aspect of this text with which you disagree, we kindly ask you to discontinue using the Service immediately and consider deleting your account.

Eligibility to Use the Service

The Service is exclusively intended for individuals who possess full legal capacity. If you are a natural person, you must have reached the age of majority (legal age) as determined by the relevant national legislation to utilize the Service. Typically, this requires you to be 18 years old. By using the Service, you confirm that you meet the required legal age. If you do not meet the necessary age criteria, please discontinue the use of the Service immediately.

Responsibility of the Admin

An Admin is responsible for ensuring that any Regular user, who is a natural person and whom they invite to access the Service, possesses full active legal capacity. This ensures compliance with the applicable regulations.

Service Usage as a Natural Person

While the Service primarily targets businesses and companies, if you, as a natural person, use the Service for personal purposes unrelated to trade, business, or profession and wish to avail yourself of consumer protection laws, you must notify us before initiating the use of the Service or subscribing to any Paid Plan. Failure to provide such notification means that the User will be unable to rely on any relevant consumer laws and will not be able to assert any consumer rights, including the right to withdraw from the Agreement.

Agreement Binding and User Consent

The User becomes bound by this Agreement in any of the following situations, whichever occurs first:

  1. When a User Account is created (including when invited by the Admin). Creating a User Account includes the obligation to verify the User's email.
  2. If the User gives their consent or is considered to have given their consent to the Agreement. Any use, access, or attempt to use or access the Software or the Service is considered as deemed agreement.

Service Availability and Limitations

We will provide You with access to the Service under this Agreement and the selected plan You have chosen. We will make commercially reasonable efforts to ensure the Service is available 24 hours a day, 7 days a week, except for the following circumstances:

  • Planned downtime, for which we will provide advance notice.
  • Unavailability caused by circumstances beyond our control, such as a force majeure event.
  • Updates to the Service necessary for security, integrity, and compliance with Applicable Law.

Downtime does not include performance issues related to specific features, external network or equipment problems beyond our control, or issues related to external apps or third parties.

Termination and Dissatisfaction

If you are unhappy with the terms of this Agreement or any changes made to the Agreement or the Service, you acknowledge that your only and exclusive solution is to cancel your subscription and cease using the Service.

Free Plan and Switching to Paid Plans

Upon creating a User Account, you will automatically be enrolled in the Free Plan. However, you have the flexibility to switch from the Free Plan to any Paid Plan whenever you choose. Once you make the switch, the corresponding subscription fees associated with the chosen Paid Plan will apply.

Liability for Payment

Anyone who subscribes to a Paid Plan or allows or facilitates another person to place an order on their behalf will be responsible for the payment associated with such a subscription. The same accountability applies to individuals who agree to be designated as payers for a Paid Plan.

Paid Plan and Workspaces

A Paid Plan is linked to a single Workspace. Upon subscribing to a Paid Plan for one or more Workspaces, a User may still have multiple Workspaces that remain subscribed to the Free Plan.

Compliance with Rules of Acceptable Use

In order to use the Service, every User must adhere to the following rules of acceptable use:

  • User must provide complete and accurate information during the registration process.
  • User must ensure that all provided information remains up-to-date and accurate. The use of false identities is strictly prohibited.
  • User must prevent any unauthorized individual from accessing their account. Sharing the account with multiple individuals is prohibited.
  • User must maintain the security of their account and password, sharing them only with authorized persons. The User is responsible for any use of the Website, Service, or their account, whether authorized or unauthorized. We cannot be held liable for any loss, damages, or expenses resulting from the User's failure to fulfill this obligation. The User will be held liable for any losses, damages, liabilities, and expenses incurred by us or a third party as a result of unauthorized account use.
  • User must not engage in activities that violate the privacy of others, misuse or unlawfully process personal data, or publicly display or share inappropriate content or materials. Additionally, the User must not violate any applicable laws or regulations pertaining to the use of the Website, Service, or Software.
  • User must not use the Service or Software to develop a competing product or service, replicate ideas, features, functions, or graphics, or copy any concepts, features, functions, or graphics.
  • User must not engage in web scraping or data scraping activities on or related to the Software or Platform. This includes the collection of information through software that simulates human activity, bots, or web crawlers.
  • User must not automate access to the Website or Service, including through APIs, bots, scrapers, or similar devices.
  • The Admin is responsible for ensuring that each Regular User with whom they share their Workspace(s) complies with all applicable legal requirements pertaining to the use of the Service.
  • Users bear full responsibility for all activities performed under their User Accounts.

Use of User Data

Regarding "User Data," which refers to electronically stored or collected data through the Software or Service from any User, including personal data, the following conditions apply:

  • (a) We will not access, process, or use User Data beyond what is necessary to provide the Service and utilize the Software, unless we obtain prior written consent from the User. Any further usage of User Data will be in accordance with the Data Processing Agreement (DPA).
  • (b) We will not intentionally grant access to User Data to any third party, including other Users, except for subcontractors who are bound by reasonable nondisclosure agreements.

However, it is important to note that we may disclose User Data when required by applicable law or proper legal or governmental authorities. In such cases, we will promptly notify the User of any such legal or governmental demand and cooperate with the User to seek a protective order or contest the required disclosure, as long as the User bears the associated expenses. Ownership of User Data remains with the User in the context of the relationship between the Parties.

Links to Third-Party Websites

If the Service provides access to data from another service provider through linking, we do not assume responsibility for the information provided by such service provider.

The Website may include links to other websites owned by different individuals or entities. Each of these websites has its own Terms of Use and Privacy Policy governing the handling of personal data, which may differ significantly from those applicable to our Website. We have no control over these external websites and do not assume any responsibility for their availability or the Terms of Use and Privacy Policy that apply to their visitors and users.

The inclusion of links to third-party websites on our Website does not imply our recommendation or approval of the services or products offered through such websites.
